LAST UPDATED: April 23, 2020

The below Terms of Use are effective upon acceptance for all new users, and starting from April 23, 2020, for the existing users.

Introduction

Thank you for using Revenue Grid products, services, websites, and apps which are branded as “Revenue Grid”, “Revenue Inbox”, “Revenue Engage”, “Revenue Guide” (hereinafter “the Services”).

These Terms of Use (“Terms”) contain the terms under which Avora Holdings LTD (hereinafter also referred to as “Revenue Grid”, “we”, “us”, or “our”) provides its Services to the users and describe how the Services can be accessed and used.

These Terms govern your access to and use of the Revenue Grid Services. You may use the Services only in accordance with these Terms.

You indicate your agreement to these Terms by clicking or tapping on a button indicating your acceptance of these Terms, by executing a document that references them, or by using the Services.

If you are using the Services on behalf of an organization, you agree to these Terms on behalf of that organization and you represent that you have the authority to do so. In such cases, “you” and “your” will refer to that organization.

1. Fees and Payments

1.1. Fees for Services.

You agree to pay to Revenue Grid all the fees for each Service you purchase or use, in accordance with the pricing and payment terms presented to you for that Service. If you have chosen to pay the fees by credit card, you represent and warrant that the credit card information you provide is correct and valid.  Fees paid by you are non-refundable, except for cases as specified in these Terms or when required by law. If incorrect payment information was provided or your payment information gets changed, you are obliged to promptly notify Revenue Grid about these changes.

1.2. Subscriptions.

Some of our Services are billed on a subscription basis (“Subscriptions”). This means that you will be billed in advance on a recurring periodic basis (each period is called a “billing cycle”). Billing cycles are annual.  Your Subscription will automatically renew at the end of each billing cycle, unless you cancel automatic renewal by contacting our customer support team. You may cancel your Subscription at any time, in which case your Subscription will continue until the end of that billing cycle before terminating. You may cancel automatic renewal of your Subscription immediately after the Subscription starts, if you do not want it to renew.

1.3. Taxes.

Unless otherwise stated, you are responsible for any taxes (other than Revenue Grid’s income tax) or duties associated with purchasing of subscriptions to the Services, including any related penalties or interest (collectively, “Taxes”). You will pay Revenue Grid for the Services without any reduction for Taxes. If Revenue Grid is obliged to collect or pay Taxes, the Taxes will be invoiced to you, unless you provide us with a valid tax exemption certificate authorized by the appropriate taxing authority or other documentation providing evidence that no tax should be charged.

1.4. Price Changes.

Revenue Grid may change the fees charged for the Services at any time, provided that for Services billed on a subscription basis the change will become effective only at the end of the then-current billing cycle of your Subscription. Revenue Grid will provide you with a reasonable prior written notice of any change in Services fees to give you an opportunity to make your decision about cancelation of automatic renewal of your Subscription before the change becomes effective.

2. Privacy

8.1. Changes to Terms.

Revenue Grid may change these Terms at any time for a variety of reasons, such as to reflect changes in applicable law or updates to Services, and to account for new Services or functionality. The most current version will always be posted at Revenue Grid website. If an amendment is material, as determined in Revenue Grid’s sole discretion, Revenue Grid will notify you by email. 9.5. Businesses.

If you are a business, you will indemnify and hold harmless Revenue Grid and its affiliates, officers, agents, and employees from all liabilities, damages, and costs (including settlement costs and reasonable attorneys’ fees) arising out of a third party claim regarding or in connection with your or your end users’ use of the Services or breach of these Terms, to the extent that such liabilities, damages and costs were caused by you or your end users.
